Richard D. Carpenter Principal and Chief Audit Executive The Vanguard Group, Inc.

Mr. Carpenter has recently been named as Chief Audit Executive for The Vanguard Group, Inc. (VGI) where he will direct and oversee the internal audit function for VGI, its subsidiaries, and The Vanguard Group of Investment Companies (Vanguard Funds). VGI provides management, administrative, marketing and distribution services to The Vanguard Group of Investment Companies, a no-load mutual fund family of more than 170 investment portfolios with over $2.5 trillion in assets under management serving more than 18 million clients. In addition to U.S. mutual funds, VGI also provides investment management, brokerage, financial planning and advice, and retirement plan administration services to individuals, financial advisers, corporations, and other institutions in the U.S. and other countries.

Mr. Carpenter has been with Vanguard since 1985 responsible for various financial management, planning and development, and technology management functions throughout his 29 years. Most recently, Mr. Carpenter was Chief Financial Officer for VGI and responsible for Corporate Financial Services for VGI and its twenty-five subsidiaries, primarily located in the U.S., but also with offices in ten countries throughout Europe, Asia, and Australia. Mr. Carpenter assumed the Corporate CFO role in July 2008 after 10 years as Corporate Controller.

Mr. Carpenter graduated from Lehigh University in 1976 with a B.S. in Accounting. Prior to joining Vanguard, he worked in the Audit Department of Price Waterhouse in Philadelphia for more than eight years.
