Directors Academy is a one and a half day Director focused educational program for “C-Suite” and board ready individuals who aspire to serve on public or private boards. Boards are responsible for ensuring the long-term viability of the companies on which they serve. Achieving this requires acquiring information that is relevant and up-to-date. There are, however, “effectiveness gaps” in which the information management provides differs from what the board needs to know. During this highly interactive program, taught by experienced board members, leading academics and thought leaders in governance, we will explore the human dynamics at work as it relates to governance challenges taking place in today’s boardroom.

Session I
Interpersonal Dynamics in the Board Room “What Should I Know and Who Do I Ask”

Most boards receive almost all of their information through the CEO and rely heavily upon it. In this session, participants will discover the delicate balance and importance of questioning the quality and scope of information it receives. To discharge their responsibilities, the board should engage other members of the management team, in addition to outside experts, without getting into the weeds.

Session II Buyer Beware What questions should the board ask on acquiring a company? One of the biggest challenges in assessing whether to acquire a company is to understand which pieces of information to examine and what data are most relevant. This highly interactive session will provide an understanding of key financial data, and the impact human capital and technology have on the cost of assessing the consideration of strategic acquisitions.

Lunch Session Emerging Technologies and Big Data: An exciting journey Big data and predictive analytics are dominating the strategy discussion in today’s boardrooms. We explore the market dynamics, implications and opportunities for executives and board members during this thought provoking discussion.

Session III: Human Capital – The Talent Pipeline: In the C-Suite and on the Board A key role of the board is to ensure that the “C Suite” has the necessary skills to perform today’s tasks while, at the same time, building organizational competency for the future. There is increasing pressure from activist shareholders and regulatory agencies to evaluate the performance and core competencies of the board. During this practitioner led session participants will engage from two different perspectives.

In Part I of this session, What Boards Should Ask of Their CEO, the participants will serve as members of a board and will review a hypothetical company’s succession plan. In Part II, Do I Want to Serve on this Board? Participants will be given hypothetical background information on a company that is seeking to fill a board position and, through due diligence, will decide if they want to become of member of the board.

Directors Academy offers board education seminars for “C-Suite” and board-ready individuals who aspire to serve on public, private and nonprofit boards. This program affords participants an educational framework through timely insights from leading executives, corporate directors, policy makers, legal and financial services experts, and academic professionals. This program is limited to 25 participants.
