Session I – 2016 Proxy Season: The Stakeholder Perspective

In 2015, the continuing increase in various stakeholders influence over governance of a corporation was a key trend and is likely to drive how companies respond to other shareholder initiatives in 2016. Long-term institutional investors focused on topics like shareholder rights and board composition, as evidenced by their support for shareholder proposals for proxy access and majority voting. In contrast, hedge funds were focused on achieving actual board composition change to help further their specific near-term financial goals. Regardless of the investor, keeping an open line of dialogue is key as a board of directors.

Session II – Executive Compensation: A Boardroom Dialogue

Executive compensation may be the board responsibility most scrutinized by investors, the media, and other stakeholders. Stakeholders have extensive visibility into executive remuneration levels, but perhaps a more limited understanding of the complexity directors face as they try to get it “right.” Boards must balance many factors in reaching compensation decisions — attracting and retaining top talent while encouraging behaviors that will achieve long-term shareholder value. Also, the issue of CEO succession — whether planned or unplanned — and offers advice for boards to consider as they deal with executive compensation.

Session III – The Role of Audit & Risk in Strategy

Today’s companies face a vast array of risks — both known and unexpected. Some risks turn into crises that have significant implications for operations or even a company’s future. Given this setting, it’s a challenge for boards to feel comfortable that a risk is addressed appropriately — but it’s a critical responsibility. Boards frequently delegate elements of risk oversight to the audit committee; but ultimately, the responsibility for risk oversight resides with the full board, and each director should understand the key risks facing the company.

Session IV – A Seat at the Table

Composition and leadership are critical in supporting a board’s ability to carry out its responsibilities effectively. Boards need the right combination of skills and experience — and to be alert to the fact that the “right” combination changes over time. They also need a leader who will ensure the board effectively discharges its responsibilities and a process that engages directors most productively. During this session, led by sitting CEOs and corporate directors, participant will engage panelists in a discussion centered around board culture and conversations currently taking place in the boardroom.

Who Should Attend?

Directors Academy offers board education seminars for board-ready individuals or those serving on their first public or private board. This program affords participants an educational framework through timely insights from leading executives, corporate directors, policy makers, legal and financial services experts, and academic professionals. This program is limited to 15 participants. Upon completion of two Directors Academy programs, participants are award a Certificate In Director Education.
