In collaboration with Deloitt e\nLLP\, Directors Academy provides participants an understanding of the\n increasingly complex and ever-changing role of a corporate board\nmember p repared to contribute to discussions occurring in the\nboardroom.\n\nPROGR AM OVERVIEW\n\n_Tuesday\, October 23rd 1pm-5pm_\n\n_Wednesday\, October 24 th 9am-5pm_\n\nSESSION I: BOARD’S ROLE IN OPTIMIZING SHAREHOLDER VALUE\n \nIt is often said that a board of directors’ greatest responsibility\ni s to thoughtfully optimize shareholder value\, but how is shareholder\nval ue defined? It is up to the board and management to reach a\nconsensus on how to measure that value\, based on the long-term\nstrategy of the compan y. Increasing long-term shareholder value may\nnot always drive short-term shareholder happiness\, so it is important\nfor boards to consider\, “W hat am I solving for and over what period\nof time?” then ask\, “How w ill we communicate our value measure to\nshareholders and secure investor buy-in?”\n\nSESSION II: THE EVOLVING ROLE OF THE BOARD IN RISK OVERSIGHT \n\nFinancial risk oversight is a well-established responsibility of the\n board. But as recent crises faced by companies such as Facebook and\nEquif ax show\, boards today are being held accountable for a more\ndiverse rang e of risks that can include safety\, environmental\,\ntechnological\, regu latory and reputational risks\, among others. Given\nthis setting\, it’s a challenge for boards to feel comfortable that a\nrisk is addressed appr opriately\; but\, it’s a critical\nresponsibility. Boards frequently del egate elements of risk oversight\nto the audit committee\; but ultimately\ , the responsibility for risk\noversight resides with the full board\, and each director should\nunderstand the key risks facing the company.\n\nSES SION III: CYBERSECURITY TABLETOP EXERCISE – WHAT DIRECTORS NEED\nTO KNOW \n\nCyber warfare is an attack\, and boards must treat it as such. Boards\ ncannot rely solely on the CTO or CISO for guidance on these issues\,\nbut should instead be reviewing their work and asking them to enforce\nboard- directed strategies. It is the role of the board to ask the\ntough questio ns\, and to do that\, directors must educate themselves on\nthe risks of c yber-attacks and strategies to mitigate those risks.\nDuring this session\ , participants will engage in an abbreviated table\ntop exercise to learn how to properly respond to a cyber event as a\nmember of a board of direct ors.\n\nCERTIFICATE IN DIRECTOR EDUCATION\n\nDirectors Academy is held twi ce annually in the fall and spring.
