 nter has recently been named as Chief Audit Executive for The\nVanguard Gr
 oup\, Inc. (VGI) where he will direct and oversee the\ninternal audit func
 tion for VGI\, its subsidiaries\, and The Vanguard\nGroup of Investment Co
 mpanies (Vanguard Funds). VGI provides\nmanagement\, administrative\, mark
 eting and distribution services to The\nVanguard Group of Investment Compa
 nies\, a no-load mutual fund family\nof more than 170 investment portfolio
 s with over $2.5 trillion in\nassets under management serving more than 18
  million clients. In\naddition to U.S. mutual funds\, VGI also provides in
 vestment\nmanagement\, brokerage\, financial planning and advice\, and ret
 irement\nplan administration services to individuals\, financial advisers\
 ,\ncorporations\, and other institutions in the U.S. and other countries.\
 n\nMr. Carpenter has been with Vanguard since 1985 responsible for\nvariou
 s financial management\, planning and development\, and technology\nmanage
 ment functions throughout his 29 years. Most recently\, Mr.\nCarpenter was
  Chief Financial Officer for VGI and responsible for\nCorporate Financial 
 Services for VGI and its twenty-five subsidiaries\,\nprimarily located in 
 the U.S.\, but also with offices in ten countries\nthroughout Europe\, Asi
 a\, and Australia. Mr. Carpenter assumed the\nCorporate CFO role in July 2
 008 after 10 years as Corporate\nController.\n\nMr. Carpenter graduated fr
 om Lehigh University in 1976 with a B.S. in\nAccounting. Prior to joining 
 Vanguard\, he worked in the Audit\nDepartment of Price Waterhouse in Phila
 delphia for more than eight\nyears.\n
